blocksky Inc. and/or its affiliates ("we" or "us") provide software services through the website operated by blocksky Inc. and related mobile applications and products (collectively, the "Services" or "we"), including "ViewFi and W3AP"). Please read the Terms of Use ("Terms") carefully, together with any other policies or notices on our website or mobile applications, before using our Services.
By accessing or using any or all of the Services, you expressly acknowledge that: (i) you have read and understood these Terms; (ii) you agree to be bound by these Terms; and (iii) you have the legal capacity to enter into these Terms. If you do not agree to be bound by these Terms, or any updates or changes to these Terms, you may not access or use our Services. We do not provide investment or financial advice or consulting services. We are not responsible for the accuracy of the content of any advertisements displayed. We are solely a provider of ViewFi and W3AP and do not provide any advice or recommendations on trading or managing digital assets. Use your own discretion when deciding to carry out transactions or operations related to digital assets.
Please see our Privacy Policy for information on how we collect, use and disclose information from users. You acknowledge and agree that your use of the Services may result in the collection, use and/or disclosure of your information (including any personal data you provide to us) in accordance with our Privacy Policy.
We reserve the right to update or modify these Terms at any time at our sole discretion. In such event, we will notify you by posting the revised Terms on our website, mobile application or through other communication methods we deem reasonable. The posted revised Terms will be effective immediately unless otherwise indicated. You should periodically check our website to review such changes and decide whether or not to accept the revised version of these Terms. If you continue to use ViewFi and W3AP after any updates or changes to these Terms, you will be deemed to have agreed to the revised Terms. If you do not agree to these Terms or any updates or changes to these Terms, you should discontinue accessing or using our Services. Our Services evolve over time and may change the content of the Services without prior notice.
To be eligible to use ViewFi and W3AP: (i) you must be at least 12 years of age and have the legal capacity to enter into these Terms; (ii) you must not be a resident of a territory subject to embargoes, United Nations Security Council Resolutions ("UNSCR"), or the Treasury Department's financial sanctions regime; (iii) you are not currently the subject or targeted by economic sanctions, such as the UN Security Council sanctions lists, the list of Specially Designated Nationals maintained by OFAC, the U.S. Department of Commerce Denied Persons or Entity List, or similar lists maintained by other relevant sanctions authorities. If you are using our Services on behalf of an entity, you further represent and warrant that: (iv) the entity is duly organized and validly existing under the applicable laws of its jurisdiction of organization; and (v) you are duly authorized by such entity to act on its behalf. You may use our Services only as permitted by the laws of your jurisdiction. For the avoidance of doubt, you may not use our Services if you are located in, or are a national or resident of, a state, country, province, or other jurisdiction where the use of our Services is illegal or in violation of applicable law. Please ensure that these Terms comply with all laws, rules, and regulations that apply to you. You agree to use our Services only with lawfully obtained funds that are legitimately owned by you. By using ViewFi and W3AP, you represent and warrant that you meet all eligibility requirements outlined in these Terms. However, we may continue to deny access to or use of ViewFi and W3AP by certain people, and we reserve the right to change the eligibility criteria at any time.
ViewFi and W3AP functions as a non-custodial wallet software for digital assets such as cryptocurrencies, virtual goods, and NFTs ("Digital Assets"). Digital assets and passwords or login information are under your sole control and responsibility and may be approved accordingly. You expressly acknowledge and agree that because ViewFi and W3AP is a non-custodial wallet software, you are at all times solely responsible for your activities and risk of loss.
You may access and use the Services in accordance with this Agreement. You agree to comply with the terms of this Agreement and all laws, rules, and regulations that apply to your use of the Products.
ViewFi and W3AP may award you a certain number of points for viewing an advertisement, answering a survey, or taking other action, or may notionally incur the gas fees required to process a transaction you request, but does not guarantee that this will happen.
blocksky.co.jp may offer a number of products under the blocksky.co.jp brand or brands owned by us, including ViewFi and W3AP. The Services are generally accessed through sites operated by us or through third-party providers approved by us, such as the Google Play Store or the Apple App Store, unless otherwise agreed in writing. Some Services may require you to create an account, enter a valid payment method, and select a paid plan ("Paid Plan" if one does not exist at the time the Services are launched, but may be offered in the future).
To complete any digital asset transaction proposed by you, the transaction must be confirmed and recorded on the public blockchain associated with the digital asset. Such networks are decentralized networks supported by independent third parties and are not owned, controlled or operated by us. Because we have no control over the blockchain network, we cannot and do not guarantee that the details of any transaction you submit through our Services will be confirmed and processed. By using ViewFi and W3AP, you acknowledge and agree that: (i) we have no ability to cancel or modify your transactions; (ii) transaction details you submit may not be completed or may be significantly delayed by the applicable blockchain network; (iii) we do not store, transmit or receive digital assets; (IV) gas fees for your transactions are not necessarily free.
You represent and warrant that the information you provide through the Services is accurate and complete. You also agree that if you do not enter your country of location or other information correctly, or if we determine through our investigation that it is different from your country of location at the time of your application use, we may suspend your use without notice. In that case, points and other accumulated points will not be returned in principle. You accept and acknowledge that we are not responsible for any errors or omissions made by you in connection with digital asset transactions initiated through the Service. We strongly encourage you to carefully review the details of any transaction before transferring digital assets.
To use ViewFi and W3AP, you will need to create an account by registering your email address and other information, or by connecting an external wallet, such as MetaMask. If you create an account, you agree to immediately notify us of any unauthorized use of your account or any other breach of security. Notwithstanding the above, you acknowledge and agree that you bear all risks associated with your use of the Service and are solely responsible for maintaining the confidentiality and security of your email address. When creating an account, we strongly encourage you to take precautions to avoid losing access to or control over your account. Recommended measures include, but are not limited to:
Notwithstanding anything to the contrary herein, we shall have no liability in connection with any activities occurring on your Wallet, with or without your authorization. You further acknowledge and agree that the methods of these precautions may change at any time due to changes in the specifications of the Service and changes in the functionality of each linked Service, and that you are at all times solely responsible for the risks of such changes.
To the extent that we provide you with login credentials and API authentication generated by the Services, such login credentials and API authentication are intended for your use only and will not be sold, transferred, or sublicensed to any other organization or individual. However, except when disclosing passwords or private keys to agents or subcontractors working on your behalf (if the Services we provide implement features that utilize them).
The fees (if any) applicable to the Service or components of the Service shall be as set forth on the site operated by Blocksky Co., Ltd. or in the ViewFi and W3AP application.
You may incur transaction fees (such as mining fees) associated with your cryptocurrency transactions as required by the cryptocurrency system or blockchain network in which you are involved. The Service does not guarantee that your transaction fees may not be charged or reduced, notionally, by the advertiser of the video ad you viewed. Therefore, before initiating a transaction, you must ensure that your wallet account has sufficient funds to cover the transaction fees to complete the transaction required to be executed. You acknowledge and agree that we are not liable for any failed or lost transactions caused by missetting (too low or too high) transaction fees or insufficient funds or gas associated with your wallet address, in the event that future functionality allowing you to set transaction fees is implemented. You further acknowledge and agree that we do not have access to your or anyone else's transactions.
It is your responsibility to determine what taxes apply to any transaction for which you submit transaction details via the Service, and it is your responsibility to report and remit the correct taxes to the appropriate tax authorities. You agree that we are not responsible for determining whether taxes apply to your transactions, or for collecting, reporting, withholding, or remitting taxes arising from digital asset-related transactions.
In no event shall any description or reference to a third-party product or service (including, without limitation, providing a description or reference via a hyperlink) in displaying advertising information on the App be construed as an endorsement or promotion by us of such third-party product or service. We reserve the exclusive right to add, modify, or cancel the availability of third-party services. You may consent to receiving push notifications from third-party content providers. You must opt-in to the service to receive push notifications. Push notifications are not automatically enabled for third-party content on your device. We do not control, endorse, or adopt any third-party content shared through push notifications, and are not responsible for any third-party content, including, without limitation, the availability and/or sale of tokens. If, to the extent permitted by ViewFi and W3AP, you expressly authorize a third party to access or connect your ViewFi and W3AP account through a third party product or service or through ViewFi and W3AP, you authorize the third party to: 1. Take specific actions on your behalf, and you agree not to excuse any liability under these Terms. You are solely responsible for all acts or omissions of third parties who have access to your wallet.
Third-party content (including the advertisers' ads and links delivered and the content of the advertisers' homepages) and third-party services are provided solely as a convenience to you. We do not verify, control, or manage third-party content. We do not manage third-party services. As a result, while we display the advertisers' ads in providing the service, we do not guarantee, endorse, or recommend such content or services to any or all users of the service, or to use such content or services for any particular purpose. You access, rely on, or use third-party content or third-party services at your own risk. Blocksky Corporation shall not be liable for any losses arising from reliance on or use of such content or services. We are not responsible for any third-party content that may be misleading, incomplete, erroneous, offensive, indecent or objectionable to you or under the laws of your jurisdiction. Reliance on third-party content or use of third-party services is your own choice and it is your sole responsibility to ensure that any reliance or use complies with all applicable laws. Any dealings or communications with third parties providing such content or services are solely between you and such third parties. We reserve the right to modify, suspend, remove, disable or impose access restrictions or usage limitations on third-party services at any time and without notice.
In each case, you agree to view, access or use such content and services at your own choice. Reliance on third-party content and use of third-party services in connection with the Offerings are governed on the one hand by this Agreement and, on the other hand, generally also subject to separate terms of use set forth by the applicable third-party content. These terms of use may include separate fees or charges and/or disclaimers or risk warnings regarding the reliability or accuracy of information. Such terms may also be subject to privacy policies that are different from those maintained by blocksky and incorporated into this Agreement. It is your responsibility to understand the terms of use of third-party services, including how the service provider uses your information in accordance with their privacy policies.
We may change or discontinue some or all of the Services Offerings at any time, or change or remove some or all of the features of the Services Offerings. We will use commercially reasonable efforts to notify you of the discontinuation through the Site or public communication channels. If you have a paid plan (which may not exist at the time of the service launch, but may be offered in the future), we will use commercially reasonable efforts to notify you of the discontinuation of the Services Offerings at least 30 days prior to discontinuation and will use commercially reasonable efforts to continue to support the Services Offerings for up to three months, unless (a) there are information security or intellectual property issues, (b) there is an economic or technical burden, or (c) there is an unreasonable risk of violating law.
We reserve the right, in our sole discretion, to modify or replace any part of this Agreement or Policy at any time. While it is your responsibility to periodically review this Agreement for changes, we will use commercially reasonable efforts to notify you of any material changes to this Agreement via the Site, email (if you have an account), or public channels. You agree that your continued use of or access to the Services offered after changes to this Agreement are posted will constitute your acceptance of those changes, regardless of whether you have reviewed the changes or actually read them.
As long as you accept and comply with these Terms, we grant you a non-exclusive, non-sublicensable, non-transferable license to use ViewFi and W3AP solely for your personal or internal business use. Except as expressly permitted in these Terms, you may not:
You may submit Feedback. We will be free to use, copy, disclose, license, distribute and exploit the Feedback in any manner in connection with ViewFi and W3AP without any obligation, royalties, or restrictions under intellectual property rights or otherwise. Feedback will not be considered confidential, and nothing in this Agreement will limit our right to independently use, develop, evaluate, or market products or services, whether or not incorporating Feedback.
ViewFi and W3AP may contain copyrighted material and trademarks, including but not limited to text and graphics ("Content"), which are protected by copyright law, registered and unregistered trademarks, and other intellectual property rights. Unless otherwise specified, we exclusively own the Content. Your use of ViewFi and W3AP does not grant you any right, title, or interest in the Content. You agree not to copy, reproduce, modify, republish, upload, post, transmit, distribute, collect, sell, license, create derivative works, or in any way exploit the Content, whether manually or automatically.
You may be able to store non-fungible tokens ("NFTs") in ViewFi and W3AP (even if that feature is not currently available, we may implement it in the future). You hereby represent and warrant that you own, or are legally authorized by the owner of the intellectual property rights, all legal right, title and interest, including all intellectual property rights, in and to the content related to the NFTs ("NFT Content"), and the NFT Content to store NFTs in ViewFi and W3AP. Except for the rights expressly granted herein, you retain all rights in and to your stored NFT Content or ViewFi and W3AP. By using ViewFi and W3AP, you are granting us a license to access, use, host, cache, store, copy, reproduce, transmit, display, publish, distribute, adapt and modify (for technical purposes) the NFT Content in any media or distribution method (now known or hereafter developed) solely as necessary to enable us to operate and provide the ViewFi and W3AP services (ensuring that the content can be viewed on computers and other devices as well as smartphones). We do not monitor NFTs and NFT Content stored in ViewFi and W3AP for infringement of third party intellectual property rights. Accordingly, we are not responsible for any actions regarding content provided by you. You further acknowledge and agree that it is your sole responsibility to perform all necessary due diligence for all activities related to NFTs, and you represent and warrant that you have not taken, relied upon, or will have no remedy for any activities related to NFTs, statements or representations made by us regarding transfers or interactions with NFTs. If you have a dispute regarding NFTs and/or NFT Content, you release us from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. You expressly waive any protections (whether legal or otherwise) that may limit the scope of coverage of the Service, including claims that you may know or suspect to exist in your favor at the time of your use of the Service.
You agree that you will not violate any law when using our Services. This includes any local, provincial, state, federal, national, or international laws that may apply to you. You agree not to use our Services to make payments for, support, or engage in any other illegal activities, including, but not limited to, illegal or otherwise prohibited transactions, illegal gambling, fraud, money laundering, or terrorist activities. For the avoidance of doubt, if we find that you have violated these Terms and/or any applicable legal or regulatory requirements (including, but not limited to, the Bank Secrecy Act), we reserve all rights and remedies under these Terms and will take all necessary actions against you in accordance with the law. Although we have no obligation to monitor User Content, we have absolute discretion to take any necessary action at any time and without notice if you violate these Terms for any reason. Without our prior written permission, any use of ViewFi and W3AP except as specifically permitted in these Terms is strictly prohibited, and we shall have the right to immediately terminate your license to use ViewFi and W3AP without notice. You acknowledge and agree that by using the Services, you may be exposed to Content that is offensive, indecent, or objectionable.

We make no representations regarding any third party content contained in or accessed through our Services. Any other terms, conditions, warranties or representations relating to such content are solely between you and such organizations and/or individuals.
Interruption or cessation of transmission to or from the Services, or any bugs, viruses, Trojan horses or the like found in the ViewFi and W3AP software or that may be transmitted to or through our Services by any third party (regardless of source); Any action taken or not taken by us as a result of any communication you send to us; Human error; Technical failure; Failures, including utility or telephone outages; Omission, interruption, delay, deletion or defect in any device or network, provider or software (including, without limitation, those that do not permit you to participate in our Services); Injury or damage to your computer equipment; Inability to fully access our website, ViewFi and W3AP, the Services or any other website; Theft, tampering, destruction or unauthorized access to images or other content of any kind; Data that is processed late, incorrectly, incomplete or lost; typographical, printing, or other errors, or any combination thereof; or any other matter relating to the website, the ViewFi and W3AP application, or any other aspect of the service. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In no event shall our liability to you for all damages (except as required by applicable law in cases involving personal injury) exceed the amount of One Hundred United States Dollars ($100.00) or the equivalent in the applicable local currency; or any combination thereof.
ViewFi and W3AP is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, we disclaim all representations and warranties, express or implied, related to the service and the underlying software, or any information, content, or any aspect of the service, whether provided or owned by us or us.
Any third-party materials or third-party websites accessible or linked to our website or services, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, non-infringement, freed.
All implied warranties, including warranties against computer viruses and arising from course of dealing, course of performance, or usage in trade, are expressly disclaimed.
In addition, we do not represent or warrant that the content accessible through the service is accurate, complete, available, up-to-date, free of viruses or other harmful components, or that the results of using the service will meet your requirements.
We make no representations or warranties that your access to ViewFi and W3AP or use of the service and its features will be continuous, uninterrupted, timely, or error-free. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.
To the extent permitted by applicable law, you agree to defend, indemnify and hold us, our affiliates, and our respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers and contractors harmless from any and all claims, claims, demands and all claims, damages, obligations, losses, liabilities, torts, costs or debt, and expenses (including but not limited to attorneys' fees) arising from: (a) your use of and access to the Service; (b) any feedback or submissions you provide to us regarding ViewFi and W3AP; (c) any violation of Third Party Content; (d) any violation of the Terms; or (e) any violation of any law, rule, regulation, or third party right.
You agree that any claim arising out of or related to your relationship with us must be filed within one year after the claim arises. Otherwise, your claim is forever barred.
Regardless of your location, the laws of Japan will apply to these Terms and the relationship of the parties. If any provision of these Terms conflicts with applicable law, such provision will be replaced or modified only to the extent of the conflict. The parties agree to submit to the courts of Japan for exclusive jurisdiction in any dispute arising out of or relating to your use of the Services or your breach of these Terms. You waive any objections based on lack of personal jurisdiction, place of residence, improper venue, or inconvenient forum in such actions.
For users who access or use our Services from territories subject to laws or regulations governing the collection, use, and disclosure of personal data that differ from the domestic laws of Japan, please note that we will not collect or process your personal data unless otherwise provided.
Even if your license to use ViewFi and W3AP is terminated, your obligations under this Agreement will continue. Your ability to access funds in your wallet after termination will depend on your access to your wallet address and email address backup.
We may, in our sole discretion, modify or discontinue, temporarily or permanently, any part of our Services, at any time, with or without prior notice, without any cost to you. You are solely responsible for storing outside the Services a backup of the pair of wallet address, email address, and private key (if implemented in a future specification change) that you maintain in your Wallet. If you do not maintain a backup of your Wallet data outside the Services, you will not be able to access the digital assets associated with your Wallet.
No failure or delay by us to exercise any right, power, or privilege under this Agreement shall operate as a waiver. Nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise. Any waiver of any such right or provision shall be effective only in writing signed by a duly authorized representative of the Company. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement shall not affect its other remedies under this Agreement or otherwise.
If any part of this Agreement is found to be invalid, void, or for any reason unenforceable, that provision shall be deemed severable and limited or removed to the minimum extent necessary. The limitation or removal of this Agreement shall not affect or impair the validity or enforceability of the remainder of that provision, provision, or any other provision, provision, or provision of this Agreement.
In the event of an event beyond our reasonable control, the validity and enforceability of the remaining provisions shall not be affected. If we are unable to perform our services as outlined in this Agreement due to factors beyond our control, including, but not limited to, the aforementioned Force Majeure Events or changes in applicable law and/or sanctions policies, we shall not be liable for the services provided under this Agreement for the period consistent with the event in question.
You agree that we may assign our rights and/or transfer, subcontract, or delegate any of our obligations under this Agreement without any notice or consent from you. This Agreement shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns. Your agreement to these Terms is personal to you and may not be assigned or transferred to any third party.
You agree that, except as expressly provided in these Terms, there shall be no third party beneficiaries to these Terms.
This Agreement sets forth the entire understanding and agreement with respect to the subject matter hereof and supersedes all prior discussions, agreements and understandings of any kind (including but not limited to any prior versions of the Terms) and of any nature between us. Except as provided above, any modifications to these Terms must be in writing and signed by both parties.
Any notices or other communications we provide under these Terms (including those regarding changes to these Terms) will be made via postings on the Service and/or other electronic communications. You agree to receive electronically all communications, agreements, documents, notices and disclosures we provide in connection with your account and use of the Service.
